Terms of Service

1. Agreement to Terms

Alpha Collective, Inc. (“Company,” “we,” “us”) provides access to the Stable Genius website, webapp, hardware products, subscription service, and related services (collectively, “Service”) under these Terms of Service (“Terms”). By (a) ordering hardware from us, (b) creating an account, (c) using the webapp, or (d) otherwise accessing or using the Service, you (“you,” “User,” “Customer”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You represent that you are at least 18 years old, or of legal age in your jurisdiction, and have capacity to enter this agreement.

2. Definitions

• “Subscription Plan” — the recurring monthly plan provided via Stripe (currently US $29/month) that gives you access to the webapp and hardware usage.
• “Hardware” — the physical device and stand we ship to you as part of the Service.
• “Webapp” — the online dashboard/app where you monitor blockchain transactions linked to your wallet.
• “Third-Party Services” — services provided by other companies that we integrate with (e.g. payment processing by Stripe; bank-link / off-ramp by Bridge.xyz; shipping carriers; order fulfillment via Shopify).

3. Description of the Service

We provide:

• Shipment to you of hardware (device + stand) upon signup.
• Access to our webapp, where you can link your on-chain wallet (or as per our wallet setup via embedded wallet) and receive alerts/monitor blockchain transactions.
• Ongoing subscription-based access to the Service, so long as your subscription payments remain current.

We are not a payment processor for blockchain transactions, nor a currency exchange or money-transmission service. Any fiat off-ramp / bank-link functionality is provided solely by our Third-Party Service provider (Bridge.xyz via Persona), who handles all related KYC, bank-account linkage, and compliance.

4. Account Registration; User Information

When you create an account, you must provide true, accurate, current, and complete information (name, company name, email, shipping & billing address, wallet address, business type, etc.). You are responsible for maintaining confidentiality of your account credentials and for any activity under your account. Notify us promptly of any unauthorized use.

You may not transfer your account to another party without our prior written consent.

5. Subscription, Fees & Billing

• You will be billed USD $29 per month (or as updated) via our payment processor (Stripe).
• Subscription renews automatically on each monthly anniversary, unless you cancel.
• You may cancel at any time. If you cancel, your access continues until the end of the current paid month. Pre-paid amounts are non-refundable.
• We reserve the right to change subscription fees at any time; we will notify you at least 30 days in advance via the email associated with your account. Continued use after a fee change constitutes acceptance.

6. Shipping & Hardware

• Upon signup, we will ship hardware to the shipping address you provided.
• Risk of loss / damage during shipping is borne by you.
• You must inspect the hardware upon receipt. If hardware is defective, damaged, or otherwise fails to function, report within 30 days to hi@stablegenius.co or via the webapp, and we will — at our discretion — replace the hardware (subject to availability).
• Because this is MVP / beta-stage hardware, we provide 30-day replacement only, and otherwise no warranty.
• We do not accept returns; unsatisfactory hardware does not qualify for refund.

7. Acceptable Use; Prohibited Activity

You agree not to use the Service (hardware or webapp) for any unlawful activity, fraud, money laundering, or to facilitate transactions or financial services that imply custody, exchange, or transmission of funds beyond providing blockchain transaction detection and monitoring.

You may not attempt to reverse-engineer, tamper with, or misuse the hardware or software. You may not share your account credentials, or allow access by unauthorized third parties.

We reserve the right to suspend or terminate your account (and associated subscriptions) if we suspect misuse, fraud, or violation of these Terms.

8. Intellectual Property

All intellectual property rights in the hardware design, firmware, webapp code, documentation, trademarks, and other related materials are owned by Company (or its licensors). We grant you a limited, non-exclusive, non-transferable license to use the hardware and webapp solely in accordance with these Terms.

Any feedback, suggestions, or modifications you provide may be used by us without compensation, and you hereby grant us a worldwide, royalty-free license to use and implement them.

9. Disclaimer; No Warranty; Limitation of Liability

• The Service is provided “as-is,” “as-available,” without any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee that hardware will be free from defects, or that the webapp will be uninterrupted, error-free, or secure.
• We are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or business opportunities, even if we have been advised of the possibility of such damages.
• Our total liability to you for direct damages is limited to an amount equal to the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to liability (or such smaller amount as permitted by law).

10. Termination / Cancellation

• You may cancel your subscription at any time through your account.
• We may suspend or terminate your account (and access to the Service) for nonpayment, breach of these Terms, fraud, or other prohibited use.
• Upon termination or cancellation, your access to the webapp will cease at end of paid period; you remain responsible for any outstanding fees.

11. Changes to Terms

We may modify these Terms at any time. We will notify you via the email associated with your account and/or by posting the updated Terms on our website. Changes become effective 30 days after notification, unless otherwise required by law. Continued use of the Service after such changes means you accept them.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Severability; Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver. These Terms and the Privacy Policy constitute the entire agreement between you and Company regarding the Service.
